AGREEMENT
This Partnership forms the agreement under which our services will be provided when engaging with Roka Search
This letter of Partnership forms the agreement (the “Agreement”) under which our services will be provided. “Client Name” may be referred to as “Client,” “you,” or “your.” Roka Search Limited., may be referred to as “Roka Search,” “we,” “our,” or “us.”
This agreement is made and entered into as of [Date] between Roka Search Limited ("Roka Search") and [The Hiring Company] ("Client").
Introduction
Roka Search provides an Executive Search service working in Partnership with the Senior Management of “Client” to connect you with qualified candidates that will help grow your business and deliver your goals.Below outlines each parties’ responsibilities and the commercial & legal terms under which Roka Search will assist you in finding the perfect fit for your team.
Our Responsibilities
- Confidentiality is absolute: We never discuss our clients or assignments with any party outside the confines of this assignment.
- Crafting the perfect search: We'll help you write compelling role descriptions, understand current salary trends, and choose the best hiring process for your needs.
- Building a rock-solid selection: We'll work with your team to design a fair, bias free and consistent selection process. We'll also offer coaching on evaluating fit, skills and potential, ensuring you make the right choice from the start.
- Reaching the world's best: Our methods and tools give us access to top talent globally. We'll identify, source and qualify the perfect candidates based on your specific requirements.
- Finding your ideal match: We'll thoroughly screen and interview candidates, assessing their skills, experience, and fit for your culture. Then, we'll present the best ones for your consideration and help you interview them.
- Partners: We'll be with you every step of the way, offering ongoing support and guidance throughout the process.
- Sealing the deal: Together, we'll work with the chosen candidate to negotiate the ideal compensation package.
Your Responsibilities
We work best when we're by your side, every step of the hiring journey. We find strong candidates, but you choose the perfect fit. To help us succeed, there are a few things that are required from you:
- Open doors: Share access to key decision-makers and let us know who has the final say.
- Be confidential: Tell us what needs to stay under wraps in the search and keep all candidate details confidential.
- Stay in touch: We need your prompt feedback throughout the process.
- Meet promptly: When we suggest someone you should meet, make time for them quickly and share your thoughts.
- Let us know: We require complete exclusivity so If you're already considering someone internally or through other sources, tell us so we can consider them too, and include them in our search.
- Share your story: Give candidates the inside scoop on your company so they can make informed decisions.
- Stay informed: Together, we'll develop a communication plan to keep you in the loop, including any industry news that might affect the search.
- Compliance: Comply with all applicable laws and regulations.

Partnership Fees
Designed to enables us to be true partners, emphasising commitment from all parties. Our fee is 25% of the total first year compensation (base salary, target or guaranteed incentive bonus, and all other cash or quasi-cash compensation including sign-on bonus). The fees are paid in 3 stages.
Three stage Fee structure
- An Engagement fee (30% of estimated total fee) is due and payable upon your acceptance of this Agreement.
- A Shortlist fee (30% of estimated total fee) is due and payable upon submission of our first shortlist to you.
- A Satisfaction Fee is the balance of the total fee, minus payments already received, and is due and payable on the candidate passing probation or 3 months from the initial start date (whichever is sooner).

Any amendments to these terms must be mutually agreed upon in writing by an authorised signatory for Roka Search.
The Client agrees to engage Roka Search exclusively for this assignment. Should a candidate be presented by a third party or through a direct application related to the assignment, the Client must inform Roka Search. Irrespective of the candidate's original source, if employed by the Client, the agreed total fee becomes payable to Roka Search.
The receipt of a candidate's resume or materials, prior to this agreement, will not affect the obligation to remit our service fee unless the candidate was actively considered for the position within the last 90 calendar days, as evidenced by scheduled interviews within 5 business days of this agreement.
If a candidate introduced by Roka Search is subsequently introduced by the Client to another employer, resulting in an offer of employment within six months, or if the Client employs the candidate within six months of introduction, a 25% introduction fee is payable to Roka Search.
In the event a candidate is engaged in a role not materially different from the original introduction, the Client remains liable to pay the fee, requiring immediate notification to Roka Search and provision of relevant information for invoicing purposes.
Cancellation of an assignment by the Client incurs a 50% shortlist fee if before submission, and 50% of the total placement fee if after shortlist and before completion.
If a written job offer is withdrawn by the Client after acceptance by the candidate and through no fault of the candidate, the full fee is payable.
Placing a search on hold for more than thirty days necessitates a new professional fee for resuming the search.
While Roka Search ensures candidate suitability, the Client is responsible for references, work permits, medical/legal requirements, and overall satisfaction before engagement.
Our Guarantee: A no-quibble, 'replace for free' policy covers the first 6 months of employment, void if final payments are not received within 7 business days of the final invoice.
Roka Search disclaims liability for any loss, damage, delay, or expense arising from, or connected to, the candidate-identification or introduction process.
Reimbursable Expenses: Client reimburses documented out-of-pocket expenses, including travel, psychometric testing, and other pre-approved costs related to the search.
All payments are due within 7 days of invoice, unless otherwise agreed in writing with a Director of Roka Search.
